Organization Overview
The South African Weather Service (SAWS) is a public entity under the Department of Forestry, Fisheries and the Environment. It is the authoritative voice for weather and climate warnings in South Africa and plays a vital role in meteorological research, environmental monitoring, and national disaster management.
Based in Centurion, Gauteng, SAWS operates under the Public Finance Management Act (PFMA) and is governed by a Board of Directors. The organization seeks a highly qualified and experienced Company Secretary to support its corporate governance functions.
Role Summary
The Company Secretary will ensure the SAWS Board and executive management operate within the bounds of good governance, legal compliance, and effective corporate oversight. This is a strategic role that requires professionalism, confidentiality, and technical proficiency.
Key Responsibilities

Provide advisory services to the Board and committees on governance, compliance, and fiduciary duties

Ensure Board meetings, committee meetings, and AGMs are properly scheduled, documented, and minuted
-
Maintain statutory records and ensure compliance with Company Law, King IV, PFMA, and other applicable regulations
-
Draft governance charters, frameworks, policies, and declarations of interest
-
Facilitate performance evaluations of the Board and its committees
-
Act as liaison between the Board, management, shareholders, and external stakeholders
-
File statutory returns and manage relations with the Companies and Intellectual Property Commission (CIPC)
-
Oversee training and development on governance for Board members
Minimum Qualifications & Experience
-
An appropriate Bachelor’s degree in Law, Corporate Governance, or related field
-
Professional certification as a Chartered Secretary or relevant legal/governance qualification
-
At least 5–8 years of relevant experience, with a track record in public sector governance
-
In-depth knowledge of King IV Report, Companies Act, PFMA, and other applicable statutes
-
Strong communication, organization, and analytical skills
-
High level of integrity and discretion when dealing with confidential matters

Excellent knowledge of corporate governance frameworks

Meticulous attention to detail in document preparation and record keeping

Ability to interact professionally with executives, legal advisors, and regulatory bodies

Proficiency in Microsoft Office and governance compliance tools

Location & Conditions

This is a full-time role based at the SAWS Head Office in Centurion, Gauteng

The Company Secretary will report directly to the Chairperson of the Board, with a dotted line to the Chief Executive Officer
